We provide a full range of services for new and established businesses.  We often will perform these services for a flat fee, including start ups. 

We offer to help you with the following business needs:

1.  Start ups.  S Corporations, C Corporations, Limited Liability Companies (LLC), Partnerships, Business Purchase Contracts, Documents for Seller Financing of Businesses, Purchase Agreements, Options to Buy, Shareholder Agreements, Buy/Sell Agreements, Family Business Planning and other business planning needs.

2.  Corporate Documents.  Bylaws, Minutes of the First Meeting, Call by Incorporator, Tax Identification Number (TIN), Employer Identification Number (EIN), SS-4 Filings, 2553 Form Filings, Subscription to Stock, Articles of Incorporation, Consent Minutes, Minutes without Meetings, Resolutions, Minute Books, Stock Certificate Preparation, Lost Stock Affidavits, Shareholder Agreements, Options, Right of First Refusal, Non-Compete Agreements, Office Sharing Agreements and other similiar documents.

3.  LLC Documents.  Articles of Organization, Operating Agreements, Annual Minutes, Minutes of Special Meetings, Articles of Dissolution, LLC Member Buyouts, LLC Conversions from Sole Propietorship or Partnerships, Tax Identification Number (TIN), Employer Identification Number (EIN), SS-4 Filings and other similiar documents.

4.  Assumed Business Names (ABN)/ Doing Business As (DBA).  In Oregon if you are doing business in other than your legal name, then you need to register an assumed business name (ABN) sometimes referred to as a DBA.  We will prepare and file the correct forms for you for a flat fee.
